Investment mechanics
How a Landex partnership works.
A single-investor partnership, a portfolio defined before the investment, and the decision rights and oversight that come with it.
A single-investor partnership
The primary focus is a special-purpose vehicle. Landex forms a partnership entity for one investor and aligns it with the long-term goals of that investor. The vehicle is organized around that investor, rather than as a pool of unrelated participants. Its governing documents define the interest, the authority, and the terms of the relationship. Those documents are specific to the vehicle and are reviewed before any commitment.
A defined portfolio
The investment strategy is a defined portfolio. The sites and the building plan are set before the investment is made, so the investor can see the properties and what is planned to be built. This is not a blind-pool vehicle. Capital is not committed first and matched to unidentified sites later.
Investor decision rights
The investor has decision rights on the sites, the development strategy, the financing, and liquidity planning. Those decisions are reserved to the investor for the vehicle. The governing documents state the rights and how they are exercised, and they are reviewed with the other terms before any commitment.
Development and management oversight
Development and management are overseen on the Landex development-management platform. The platform provides daily tracking of each development project and is used to manage that work. Every stakeholder has on-demand access to the project information the platform holds.
Reporting and exit
Reporting follows the project agreement. An exit may involve a sale, refinancing, or continued operation. Debt obligations, expenses, reserves, and the operating agreement govern what can be distributed and when.
